Imaginez une autorité nouvelle qui demande, quand elle le veut, aux Etats de payer dans les 7 jours des montants non plafonnés. Une autorité qui peut accuser sans être accusée. Une autorité dont les dirigeants et employés bénéficient de l’immunité. Une autorité qui ne peut pas être attaquée par les tribunaux. Des gouvernements qui ne peuvent plus revenir sur les engagements pris par leurs prédécesseurs auprès de cette autorité. Une autorité non élue qui détiendrait dans une seule main les caisses des Etats européens. Et bien cette autorité est en cours de création. Elle s’appelle le MES, le Mécanisme Européen de Stabilité qui devrait entrer en vigueur en 2013. Vous n’en avez jamais entendu parlé ? Article 3Objet L’objet du MES est de mobiliser des fonds et fournir une assistance financière, sous stricte conditionnalité de politique économique, au profit des Membres du MES qui connaissent ou sont menacées par des problèmes de financement grave, si cela s’avère indispensable pour sauvegarder la stabilité financière de la zone euro dans son ensemble. A cet effet, le MES est en droit de lever des fonds par émission d’instruments financiers ou en concluant des accords financiers ou autres arrangements avec les Membres du MES, les institutions financières ou d’autres tiers.
Article 8Capital social1. Le capital social s’élève à 700 milliards d’euros (EUR 700 000 000 000).
Article 9Appels du capital[…] Les Membres du MES, irrévocablement et inconditionnellement, s’engagent à payer sur demande l’appel de capital effectué par le Directeur Général conformément au présent paragraphe, cet appel devant être payé dans les sept (7) jours suivant la réception de ladite demande. 
Article 10Les changements dans le capital social1. Le Conseil des Gouverneurs […] peut décider du changement du capital social et de la modification de l’article 8 et l’annexe 2 en conséquence.
Article 27Le statut juridique du MES, les immunités et privilèges
2. Le MES a la pleine personnalité juridique, il doit avoir la pleine capacité juridique:
(A) pour acquérir et aliéner des biens immobiliers et mobiliers;
(B) pour contracter;
(C) pour ester en justice et
(D) pour entrer dans un accord cadre et / ou des protocoles nécessaires pour s’assurer que ses statuts, privilèges et immunités sont reconnus et mis en vigueur.
3. Le MES, ses biens, fonds et avoirs, où qu’ils se trouvent et quel qu’en soit le détenteur, jouissent de l’immunité de toute forme de procédure judiciaire, sauf dans la mesure où le MES renonce expressément à son immunité dans le but de toute procédure ou par les conditions de tout contrat, y compris la documentation sur les instruments financiers.
4. La propriété, le financement et les actifs du MES, où qu’ils se trouvent et quel qu’en soit le lieu, sont exempts de perquisition, réquisition, confiscation, expropriation ou de toute autre forme de saisie, de prise ou forclusion par action de l’exécutif, judiciaire, administrative ou législative.
Article 30Immunités des personnes
1. Gouverneurs, Gouverneurs suppléants, Directeurs, Directeurs suppléants, le Directeur Général et membres du personnel doivent être à l’abri de poursuites à l’égard des actes accomplis par eux dans leur qualité officielle et jouissent de l’inviolabilité à l’égard de leurs papiers officiels et documents, sauf lorsque le Conseil des Gouverneurs renonce expressément à cette immunité.
Ces quelques articles, d’apparence anodine, ne le sont plus du tout si on arrive à mesurer l’étendue des prérogatives qu’ils octroient. Les attributions sont énormes mais surtout les montants sont colossaux. On parle de centaines de milliards d’euros et cela ne fait que commencer…

S’ENGAGENT À assurer la stabilité financière de la zone euro;
RAPPELANT les conclusions du Conseil européen adoptée le 25 Mars 2011 sur la création d’un Mécanisme
Européen de Stabilité;
ATTENDU
(1) Le Conseil européen est convenu le 17 Décembre 2010 sur la nécessité pour les Etats Membres de la zone
euro d’établir un mécanisme de stabilité permanente. Ce mécanisme européen de stabilité sera d’assumer les
tâches actuellement remplies par le Fonds européen de stabilité financière («FESF») et le Mécanisme européen
de stabilisation financière («MESF») en apportant si nécessaire assistance financière aux États Membres de la
zone euro, après Juin 2013.
(2) Le 25 Mars 2011, le Conseil européen a adopté une décision en ajoutant à l’article 136 du traité sur le
fonctionnement de l’Union européenne le paragraphe suivant : «Les Etats Membres dont la monnaie est l’euro
peuvent établir un mécanisme de stabilité pouvant, si nécessaire, être activé dans le but de préserver la
stabilité de la zone euro dans son ensemble. L’octroi de toute aide financière en vertu du mécanisme sera
soumis à de strictes conditionnalités».
(3) Le strict respect du cadre de l’Union européenne, la surveillance macro‐économique intégrée, en particulier
le Pacte de stabilité et de croissance, l’encadrement des déséquilibres macroéconomiques et les règles de la
gouvernance économique de l’UE, doivent rester la première ligne de défense contre les crises de confiance
affectant la stabilité de la zone euro dans son ensemble.
(4) Si nécessaire, pour préserver la stabilité financière de la zone euro dans son ensemble, l’accès à l’aide
financière du MES sera fournie sur la base d’une conditionnalité politique stricte sous un programme
d’ajustement macro‐économique et une analyse rigoureuse de la viabilité de la dette publique.
Le volume initial maximum de prêt du MES après la complète utilisation des fonds du FESF est fixé à
500 Milliards €
(5) Tous les États Membres de la zone euro vont devenir Membres du MES. Pour rejoindre la zone euro, un État
Membres de l’Union européenne («UE») devra devenir un Membre du MES avec les pleins droits et obligations,
en ligne avec ceux des parties contractantes.
(6) Le MES va coopérer très étroitement avec le Fonds monétaire international (“FMI”) en fournissant une aide
financière. En toutes circonstances, la participation active du FMI sera recherchée, tant sur le plan technique
que financier. Un Etat Membres requérant une aide financière du MES devra déposer une demande similaire
auprès du FMI.
(7) Les États non Membres de la zone euro qui participent sur une base ad hoc aux côtés du MES à une
opération d’assistance financière aux États Membres de la zone euro seront invités à participer, en tant
qu’observateurs, aux réunions du MES lorsque cette aide financière et son suivi seront discutés. Ils auront accès
à toutes les informations en temps opportun et seront consultés.
(8) En ?? 2011, les représentants des gouvernements des États Membres de l’Union, ont autorisé les parties
contractantes du présent traité à requérir la Commission européenne et la Banque centrale européenne («BCE»)
afin d’exécuter les tâches prévues par le présent traité.
[(9) Une participation adéquate et proportionnée du secteur privé sera recherché le cas échéant lorsque l’aide
financière est accordée à un Membre du MES, en ligne avec la pratique du FMI. La nature et l’ampleur de cette
participation dépendra de l’analyse de la viabilité de la dette et devra prendre dûment en compte les risques de
contagion et les effets sur les autres États Membres et pays tiers. Sur la base de cette analyse et selon si un
programme d’ajustement macro‐économique peut raisonnablement restaurer la dette publique sur une
trajectoire viable, l’État Membres bénéficiaire peut être amené à prendre des initiatives allant de
l’encouragement des principaux investisseurs privés à maintenir leur exposition jusqu’à s’engager dans des
négociations actives en toute bonne foi avec ses créanciers pour assurer leur direct implication dans le
rétablissement de la viabilité de la dette] [alternative à l’article 12 (2)]
[(10) Dans sa déclaration du 28 Novembre 2010, l’Eurogroupe a déclaré que les clauses d’action collective
(“CAC”) standardisées et identiques seront incluses, de manière à préserver la liquidité du marché, dans les
termes et conditions de toutes les nouvelle obligations en euros à partir de Juin 2013. Par ailleurs, la feuille de
route du MES, comme approuvé par le Conseil européen le 25 Mars 2011, stipule que les modalités juridiques
pour inclure les CAC dans les obligations de la zone seront finalisées d’ici la fin 2011.] [Alternative à l’article 12
(3)]
[(11) Comme le FMI, le MES offrira une aide financière à un Membre lorsque son accès à la finance de marché
sera altéré. Les chefs d’Etat et de gouvernements ont déclaré que le MES jouira d’un statut de créancier
privilégié égal au FMI, plutôt que d’accepter le statut de créancier privilégié du FMI sur le MES. Les Etats
Membres de la zone euro reconnaitront le statut de créancier équivalent du MES de même que les autres États
Membres prêtant bilatéralement au côté du MES].
(12) Les différends concernant l’interprétation et l’application du présent traité survenant entre les
Parties contractantes ou entre les parties contractantes et le MES, devront être soumis à la compétence de la
Cour de justice de l’Union européenne, conformément à l’article 273 du traité sur le fonctionnement de l’Union
européenne («TFUE»).
(13) Un post‐programme de surveillance sera effectué par la Commission européenne et par le
Conseil de l’Union Européenne dans le cadre prévu par les articles 121 et 136 du TFUE.
ONT CONVENU ce qui suit :
CHAPITRE 1. Dispositions communes
Article 1
Mise en place et Membres
1. Par le présent traité, les parties contractantes instituent entre elles une institution financière internationale,
appelée “Mécanisme Européen de Stabilité” (ci‐après le «MES»).
2. Les parties contractantes sont Membres du MES (ci‐après les «Membres du MES»).
Article 2
Les nouveaux Membres
1. L’adhésion au MES est ouverte aux autres États Membres de l’Union européenne, celle‐ci entrainant l’entrée
en vigueur de la décision du Conseil de l’Union européenne prise conformément à l’article 140 (2) du traité sur le
fonctionnement de l’Union européenne (Ci‐après le «TFUE») d’abroger leur dérogation de participation à l’euro.
2. Les nouveaux Membres du MES sont admis selon les mêmes termes et conditions que les Membres existants
du MES, conformément à l’article 39.
3. Un nouvel État Membres adhérant au MES après sa création reçoit des titres du MES, en échange de son
apport en capital, calculé en conformité avec la clé de contribution décrite dans l’article 11.
Article 3
Objet
L’objet du MES est de mobiliser des fonds et fournir une assistance financière, sous stricte conditionnalité de
politique économique, au profit des Membres du MES qui connaissent ou sont menacées par des problèmes de
financement grave, si cela s’avère indispensable pour sauvegarder la stabilité financière de la zone euro dans
son ensemble. A cet effet, le MES est en droit de lever des fonds par émission d’instruments financiers ou en
concluant des accords financiers ou autres arrangements avec les Membres du MES, les institutions financières
ou d’autres tiers.
CHAPITRE 2. GOUVERNANCE DU MES
Article 4
Structures et règles de vote
1. Le MES a un Conseil des Gouverneurs, un Conseil d’administration, un Directeur Général, et le personnel
dédié nécessaire.
2. Les décisions du Conseil des Gouverneurs et du Conseil d’administration sont prises d’un commun accord, à la
majorité qualifiée ou à la majorité simple comme spécifié dans le présent traité. En ce qui concerne toutes les
décisions, le quorum de 2 / 3 des Membres ayant droit de vote représentant au moins les 2 / 3 des droits de
vote doit être présent.
3. L’adoption d’une décision d’un commun accord requiert l’unanimité des Membres participant au vote. Les
abstentions ne font pas obstacle à l’adoption d’une décision par commun accord.
4. L’adoption d’une décision à la majorité qualifiée requiert quatre‐vingt pour cent (80%) des voix exprimées.
5. L’adoption d’une décision à la majorité simple requiert une majorité des suffrages exprimés.
6. Les droits de vote de chaque Membres du MES, comme exercés par son préposé ou représentant au Conseil
des Gouverneurs ou au Conseil d’administration, doivent être égaux au nombre d’actions attribuées dans le
capital social du MES comme indiqué dans l’Annexe 2 au présent traité.
7. Si un Membre du MES omet de payer une partie du montant dû au titre de ses obligations en
rapport à la prime d’actions ou des appels de capitaux au titre des articles 8 à 10 du présent Traité, ou en
relation au remboursement de l’aide financière en vertu l’article 14 ou 15 de ce traité, il ne pourra plus, pour
aussi longtemps que ce défaut se poursuit, exercer un seul de ses droits de vote. Les seuils de vote seront alors
recalculés en conséquence.
Article 5
Conseil des Gouverneurs
1. Chaque Membres du MES nomme un Gouverneur et un Gouverneur suppléant, révocable à tout moment. Le
Gouverneur doit être un Membres du gouvernement qui a la responsabilité de la finance.
Le Gouverneur suppléant a pleins pouvoirs pour agir au nom du Gouverneurs quand il ou elle n’est pas présent.
2. Les Membres de la Commission européenne en charge des affaires économiques et monétaires et le
Président de la Banque centrale européenne (ci‐après le «BCE»), ainsi que le Président de l’Eurogroupe, comme
mentionné dans le protocole n ° 14 aux traités de l’UE (si il ou elle n’est pas un Gouverneur) peut participer aux
réunions du Conseil des Gouverneurs en tant qu’observateurs.
3. Les représentants des Etats non Membres de la zone euro, qui participent sur une base ad hoc aux côtés du
MES dans une opération d’assistance financière à un État Membres de la zone euro seront également invités à
participer, comme observateurs, aux réunions du Conseil des Gouverneurs quand cette assistance financière et
son suivi seront discutés.
4. D’autres personnes, y compris des représentants d’institutions ou d’organisations, telles que le FMI, peuvent
être invitées par le Conseil des Gouverneurs pour assister aux réunions en tant qu’observateurs, sur une base ad
hoc.
5. Le Conseil des Gouverneurs peut soit nommer le Président de l’Eurogroupe comme Président du MES ou élire
un Président et un Vice‐président parmi ses Membres pour un mandat de deux ans. Le Président et le Viceprésident
peuvent être réélus. Une nouvelle élection doit être organisée sans délai si le titulaire n’occupe plus la
fonction nécessaire pour être Gouverneur désigné.
6. Le Conseil des Gouverneurs prend les décisions suivantes d’un commun accord:
(A) La décision d’émettre de nouvelles actions à des conditions autres que au pair, conformément à l’article
8 (2);
(B) Le capital des appels, conformément à l’article 9 (1);
(C) Les variations de capital social et l’adaptation du volume de prêts maximale du MES, conformément à
l’article 10 (1);
(D) La décision de prendre en compte une éventuelle mise à jour de la clé pour la souscription du Capital de la
BCE, conformément à l’article 11 (3) et les changements à apporter à l’annexe 1 en Conformément à l’article 11
(5);
(E) L’octroi d’une aide financière par le MES, y compris la conditionnalité politique comme indiqué dans le
protocole d’entente («Protocole»), les termes et conditions financières, et le choix des instruments,
conformément aux articles 12 à 15;
(F) Le mandat à confier à la Commission européenne pour négocier, en liaison avec la BCE, les conditions de
politique économique attachées à chaque aide financière, en conformité avec l’article 13 (3);
(G) Les changements dans la structure des prix et politique de tarification de l’aide financière, conformément à
l’article 14 (4);
(H) Les modifications apportées à la liste des instruments d’aide financière qui peut être utilisé par le MES,
conformément à l’article 16;
(I) Les modalités de transfert du soutien du FESF au MES, conformément à l’article 35;
(J) La décision d’approuver la demande d’adhésion au MES par les nouveaux Membres, visés à l’article 39
(K) Les adaptations à apporter au présent traité comme une conséquence directe de l’adhésion de nouveaux
Membres, y compris les changements à apporter à la répartition du capital entre les Membres du MES et le
calcul d’une telle distribution comme une conséquence directe de l’adhésion d’un nouveau Membre du MES,
conformément à l’article 39;
(L) La délégation au Conseil d’administration des tâches énumérées dans le présent article.
7. Le Conseil des Gouverneurs prend les décisions suivantes à la majorité qualifiée :
(A) Les termes techniques détaillés de l’adhésion d’un nouveau Membres au MES, en conformité avec l’article
39;
(B) L’élection du Président et du Vice‐président du Conseil des Gouverneurs, conformément au paragraphe 2 du
présent article;
(C) Les statuts du MES et les règles de procédure applicables au Conseil des Gouverneurs et du Conseil
d’administration (y compris le droit d’établir des comités et organes subsidiaires), conformément au paragraphe
9;
(D) La détermination de la liste des activités incompatibles avec les fonctions d’un Directeur ou d’un Directeur
suppléant, conformément à l’article 6 (8);
(E) La nomination du Directeur Général, conformément à l’article 7;
(F) La création d’autres fonds, conformément à l’article 20;
(G) Les décisions sur les mesures à prendre pour récupérer une dette d’un Membre du MES, conformément à
l’article 21 (2) et (3);
(H) L’approbation des comptes annuels du MES, conformément à l’article 23 (1), et
(I) La nomination des Membres du conseil de vérification interne, conformément à l’article 24;
(J) L’approbation des vérificateurs externes, conformément à l’article 25;
(K) La décision de lever l’immunité d’un Gouverneur, Gouverneurs suppléant, Directeur, Directeur suppléant ou
Membres du personnel, conformément à l’article 30;
(L) Le régime d’imposition applicable au personnel du MES, conformément à l’article 31 (5);
(M) La décision sur un différend, conformément à l’article 32 (2);
(N) Toute autre décision nécessaire, non explicitement prévues par le présent traité.
8. Le Président convoque et préside les réunions du Conseil des Gouverneurs.
Le Vice‐président préside ces réunions lorsque le Président est incapable de participer.
9. Le Conseil des Gouverneurs adopte les règlements administratifs du MES et le règlement intérieur du Conseil
des Gouverneurs.
Article 6
Conseil d’administration
1. Chaque Gouverneur nomme un Directeur et un Directeur suppléant, révocable à tout moment, parmi les
personnes de haute compétence en matière économique et financière. Les Directeurs suppléants
Ont plein pouvoir pour agir au nom du Directeur quand il ou elle n’est pas présente.
2. Les Membres de la Commission européenne en charge des affaires économiques et monétaires et le
Président de la BCE peuvent chacun nommer un observateur.
3. Les représentants des Etats non Membres de la zone euro, qui participent sur une base ad hoc aux côtés du
MES dans une opération d’assistance financière à un État Membres de la zone euro sont invités à participer,
comme observateurs, aux réunions du Conseil d’administration lorsque cette assistance financière et son suivi
seront discutés.
4. D’autres personnes, y compris des représentants d’institutions ou d’organisations peuvent être invités par le
Conseil des Gouverneurs pour assister aux réunions en tant qu’observateurs, sur une base ad hoc.
5. Le Conseil d’administration prend ses décisions à la majorité qualifiée, sauf indication contraire dans le
présent traité. Les décisions déléguées par le Conseil des Gouverneurs doivent être adoptées conformément aux
règles de vote fixées aux articles 5 (6) et (7).
6. Sans préjudice des attributions du Conseil des Gouverneurs conformément à l’article 5, le Conseil
d’administration veille à ce que le MES soit géré en conformité avec le présent traité et les statuts du MES
adoptés par le Conseil des Gouverneurs. Il prend les décisions prévues dans le présent traité ou qui lui sont
déléguées par le Conseil des Gouverneurs.
7. Toute vacance au sein du Conseil d’administration doit être immédiatement remplie en conformité avec
l’alinéa (1).
8. Le Conseil des Gouverneurs doit déterminer les activités qui sont incompatibles avec les fonctions d’un
Directeur ou un administrateur suppléant, les statuts du MES et des règles de procédure du Conseil
d’administration.
Article 7
Directeur Général
1. Le Directeur Général est nommé par le Conseil des Gouverneurs parmi les candidats ayant la nationalité d’un
Membre du MES, une expérience internationale pertinente et une haute compétence en matière économique et
financière. Le Directeur Général ne peut être en même temps Gouverneur, Directeur ou suppléant.
2. La durée du mandat du Directeur Général est de cinq ans. Il ou elle peut être renouvelé une fois. Cependant, il
ou elle cesse ses fonctions lorsque le Conseil des Gouverneurs en décide ainsi.
3. Le Directeur Général préside les réunions du Conseil d’administration et participer aux réunions du Conseil
des Gouverneurs.
4. Le Directeur Général est le chef du personnel du MES. Il ou elle doit être responsable de l’organisation, de la
nomination et du licenciement du personnel, conformément aux règles sociales qui seront adoptées par le
Conseil d’administration.
5. Le Directeur Général est le représentant légal du MES et procède, sous la direction du Conseil
d’administration, aux affaires courantes du MES.
CHAPITRE 3. Capital du MES
Article 8
Capital social
1. Le capital social s’élève à 700 milliards d’euros (EUR 700 000 000 000). Il est divisé en sept (7) millions
d’actions, ayant une valeur nominale de cent mille euros (EUR 100 000) chacune, qui seront disponibles à la
souscription en fonction de la contribution initiale selon les clés définies à l’article 11 et calculée à l’annexe 1.
2. Le capital social est divisé en actions libérées et des actions sujettes à appel. Le total initial de la valeur
nominale des actions libérées s’élève à quatre vingt milliards d’euros (EUR 80 000 000 000).
Les actions initialement souscrites sont émises au pair. Les autres actions sont émises au pair, à moins que le
Conseil des Gouverneurs décide de les émettre dans des circonstances particulières à d’autres conditions.
3. Les actions ne doivent pas être nanties ou promises de quelque manière que ce soit et elles ne sont pas
cessibles, à l’exception des transferts aux fins de la mise en oeuvre du réglage de la clé de contribution définie à
l’article 11 afin de s’assurer que la répartition des parts correspond à la clé.
4. Les Membres du MES reconnaissent inconditionnellement et irrévocablement s’engager à fournir leur
contribution au capital social, en conformité avec leur clé de contribution en Annexe 1. Ils réunissent tous les
appels de fonds sur une base en temps opportun conformément aux modalités prévues dans le présent traité.
5. La responsabilité de chacun des Membres du MES est limitée, en toutes circonstances, pour sa part dans le
capital social au prix d’émission. Aucun Membre du MES ne sera solidaire, en raison de son adhésion au MES,
des obligations du MES. Les obligations d’un Membres de contribuer au capital du MES, conformément à ce
traité, ne sont pas affectées même si ce Membre du MES devient éligible ou reçoit l’assistance financière du
MES.
Article 9
Appels du capital
1. Le Conseil des Gouverneurs peut faire appel au capital non libéré à tout moment et fixer une période de
temps appropriée pour son paiement par les Membres du MES.
2. Le Conseil d’administration peut faire appel à des capitaux non libérés par décision majoritaire simple à
rétablir le niveau de capital versé si le montant de ces derniers est réduite par l’absorption des pertes en
dessous du niveau prévu à l’article 8 (2), qui peut être modifiée par le Conseil des
Gouverneurs en suivant la procédure prévue à l’article 10, et fixer un délai approprié de temps pour son
paiement par les Membres de MES.
3. Le Directeur Général appelle un capital social non libéré dans les meilleurs délais si nécessaire pour éviter au
MES d’être en défaut de paiement de toute obligation prévue ou autres paiement du à des créanciers du MES. Il
ou elle doit informer le Conseil d’administration et le Conseil des Gouverneurs de tout appel de ce type. Quand
un déficit potentiel en fonds du MES est détecté, le Directeur Général doit faire des appels en capital dès que
possible en vue de permettre au MES d’avoir les fonds suffisants pour honorer les paiements dus aux créanciers
en totalité à leur date d’échéance. Les Membres du MES, irrévocablement et inconditionnellement, s’engagent à
payer sur demande l’appel de capital effectué par le Directeur Général conformément au présent paragraphe,
cet appel devant être payé dans les sept (7) jours suivant la réception de ladite demande.
4. Le Conseil d’administration arrête les modalités et conditions qui s’appliquent aux appels sur le capital en
vertu du présent article.
L’article 10
Les changements dans le capital social
1. Le Conseil des Gouverneurs doit examiner régulièrement et au moins tous les cinq ans au maximum le volume
des prêts et la suffisance du capital social du MES. Il peut décider du changement du capital social et de la
modification de l’article 8 et l’annexe 2 en conséquence. Cette décision entrera en vigueur après que les
Membres du MES auront notifié au Dépositaire l’achèvement de leurs procédures nationales applicables. Les
actions nouvelles seront attribuées aux Membres du MES selon la clé de la contribution définie à l’article 11 et à
l’annexe 1.
2. Le Conseil d’administration arrête les termes et conditions qui s’appliquent à tout ou partie de modification
du capital prévue au paragraphe 1.
3. Après qu’un nouvel État Membres soit devenu un Membre du MES, le capital social du MES est
automatiquement augmenté en multipliant les montants respectifs alors en vigueur par le ratio, selon la clé de
contribution élargie définie à l’article 11, entre le poids du Membres entrant et ceux des Membres du MES
existants.
L’article 11
La clé de contribution
1. La clé de contribution pour souscrire au capital social du MES, sous réserve des paragraphes 2 et 3 ci‐dessous,
sera basée sur la clé utilisée pour les Membres du MES lors de la souscription au capital de la BCE conformément
à l’article 29 du Protocole (no 4) au Traité sur l’Union européenne et du traité sur le fonctionnement de l’Union
européenne sur le statut du Système européen de banques centrales et de la Banque centrale européenne
(« Statut du SEBC »).
2. La clé de la contribution initiale au capital social du MES est spécifiée à l’annexe 1 au présent traité.
3. La clé de contribution pour la souscription au capital social du MES est ajustée :
‐ Quand il y a un changement dans le capital social, tel que spécifié dans l’article 10 (1)
‐ Quand un nouvel État Membres devient un Membre du MES et que le capital social du augmente
automatiquement comme spécifié dans l’article 10 (3);
‐ Lorsque les douze (12) années de correction temporaire applicable à un Membre du MES, conformément à
l’article 37, se termine.
Le Conseil des Gouverneurs peut décider de prendre en compte les mises à jour possibles de la clé pour la
souscription au capital de la BCE visés au paragraphe 1. 11
4. Lorsque la clé de contribution pour la souscription au capital social du MES est ajustée, les Membres du MES
transfèrent entre eux le capital social nécessaire pour s’assurer que la distribution du capital correspond à la clé
ajustée.
5. L’annexe 1 doit être modifiée sur décision du Conseil des Gouverneurs lors de tout ajustement prévue par le
présent article.
6. Le Conseil d’administration doit prendre toutes les autres mesures nécessaires à l’application de cet article.
CHAPITRE 4. Opérations sur le MES
L’article 12
Principes
[1.] Si cela s’avère indispensable pour préserver la stabilité financière de la zone euro dans son ensemble, le MES
peut fournir une aide financière aux Membres du MES, soumis à une conditionnalité stricte sous un programme
d’ajustement macro‐économique, proportionnelle à la gravité de la crise économique et aux déséquilibres
financiers vécus par ce Membre du MES.
[2. Une participation adéquate et proportionnée du secteur privé doit être recherchée au cas par cas, quand une
aide financière est reçue par un Membre du MES, en ligne avec la pratique du FMI. La nature et l’étendue de
cette participation dépendra de l’issue d’une analyse de la viabilité de la dette et devra dûment tenir compte du
risque de contagion et des retombées potentielles sur les autres États Membres et pays tiers. Si, sur la base de
cette analyse, il s’avère qu’un programme d’ajustement macro‐économique est réaliste afin de rétablir la dette
publique sur une trajectoire viable, l’État Membres bénéficiaire doit prendre des initiatives visant encourager les
principaux investisseurs privés à maintenir leur exposition. S’il s’avère que le programme d’ajustement macroéconomique
n’est pas réaliste pour rétablir la dette sur une trajectoire viable, l’État Membres bénéficiaire est
tenu de s’engager dans négociations actives de bonne foi avec ses créanciers pour s’assurer de leur implication
directe dans le rétablissement de la viabilité de la dette. Dans ce dernier cas, l’octroi d’une aide financière sera
subordonné à la faculté pour l’État Membres d’avoir un plan crédible pour restaurer la viabilité de la dette et à
démontrer des engagements suffisants pour assurer l’implication adéquate et proportionnée du secteur privé.
Les progrès dans la mise en oeuvre du plan seront suivis en vertu du programme et seront pris en compte dans
les décisions sur les décaissements. ] [Alternative au considérant 9]
[3. Les clauses d’action collective doivent être incluses dans tous les nouveaux titres du gouvernement de la
zone euro, avec une maturité supérieure à un an, à partir de Juillet 2013, de manière standardisée afin de
s’assurer que leur impact juridique est identique dans toutes les juridictions de la zone euro.] [Alternative au

L’article 13
Procédure d’octroi d’aide financière
1. Un Membre du MES peut adresser une demande pour une aide financière au Président du
Conseil des Gouverneurs. Sur réception d’une telle demande, le Président du Conseil des Gouverneurs
Demandera à la Commission européenne, en liaison avec la BCE :
(A) d’évaluer l’existence d’un risque pour la stabilité financière de la zone euro dans son ensemble;
(B) d’entreprendre – dans la mesure du possible, de concert avec le FMI ‐ une analyse rigoureuse de la dette du
Membres du MES concerné;
(C) d’évaluer les besoins réels de financement du Membres du MES Membres concerné et la nature de la
participation du secteur privé requis, conformément à l’article 12.
2. Sur la base de l’évaluation visée au paragraphe 1, le Conseil des Gouverneurs peut décider d’accorder, en
principe, une aide financière au Membres du MES concerné.
3. Si une décision de principe d’accorder l’aide financière est adoptée, le Conseil des Gouverneurs chargera la
Commission européenne de négocier avec le Membres concerné du MES – dans la mesure du possible, de
concert avec le FMI et en liaison avec la BCE ‐ un protocole d’accord (ci‐après le «Protocole») détaillant les
conditions de politique économique, contenus dans un programme d’ajustement macro‐économique relié à
l’aide financière. En parallèle, le Directeur Général du MES doit préparer une proposition d’aide financière, y
compris les modalités et les conditions financières et le choix des instruments, pour être adopté par le Conseil
des Gouverneurs.
Le protocole d’accord doit être pleinement compatible avec les mesures de coordination des politiques
économiques prévues dans le TFUE, y compris tout acte de législation secondaire ainsi que toute opinion,
avertissement, recommandation ou décision adressée aux Membres du MES concerné.
4. La Commission européenne doit signer le protocole d’accord au nom du MES, sous réserve de suivre les
conditions établies au paragraphe (3) et l’approbation par le Conseil des Gouverneurs.
5. Le Conseil d’administration doit approuver la convention d’aide financière détaillant les aspects techniques de
l’aide financière devant être fournie et le décaissement de la première tranche de l’aide.
6. Le MES doit établir un système d’alerte approprié pour s’assurer qu’il reçoit en temps opportun les
remboursements dus par les Membres du MES au titre de l’assistance financière.
7. La Commission européenne – dans la mesure du possible, de concert avec le FMI, et en liaison avec la BCE ‐
est chargé de surveiller la conformité avec la politique économique des conditions liées à l’aide financière. Sur la
base du rapport de la commission de l’Union européenne, le Conseil d’administration doit décider, par accord
mutuel, du décaissement des tranches de l’aide financière à la suite de la première tranche.
8. Le Conseil d’administration arrête les orientations détaillées qui s’appliquent au décaissement de l’aide
financière.
L’article 14
Soutenir la stabilité du MES (ESS)
1. Le Conseil des Gouverneurs peut décider d’accorder à court ou moyen terme un soutien de stabilité sous la
forme d’un prêt à un Membre du MES, considéré comme aide financière conformément à l’article 12.
2. Les termes techniques et les conditions de chaque prêt doit être spécifié dans un accord d’aide financière qui
doit être signé par le Directeur Général.
3. Le prix de l’ESS doit couvrir le coût de financement MES plus une marge supplémentaire déterminée par le
Conseil des Gouverneurs. La structure de prix est détaillée dans la politique de tarification à l’annexe 3. La
politique de tarification doit être examinée régulièrement par le Conseil des Gouverneurs.
4. Le Conseil des Gouverneurs peut décider de modifier la structure des prix et la politique de tarification et
modifier l’annexe 3 en conséquence.
L’article 15
L’appel éventuel au marché primaire (PMSF)
1. Le Conseil des Gouverneurs peut décider, à titre exceptionnel, d’organiser l’achat d’obligations d’un Membre
du MES sur le marché primaire, conformément à l’article 12 [et avec les objectifs de maximiser la rentabilité de
l’aide financière].
2. Les termes techniques et les conditions dans lesquelles l’achat d’obligations est menée doit être spécifiée
dans la convention d’aide financière, qui doit être signé par le Directeur Général.
3. Le Conseil d’administration arrête les orientations détaillées sur les modalités de mise en oeuvre du PMSF.
L’article 16
Examen de la liste des instruments d’assistance financière
Le Conseil des Gouverneurs peut examiner la liste des instruments d’assistance financière prévue aux articles 14
et 15 et de décider d’y apporter des modifications.
L’article 17
Opérations d’emprunt
1. Le MES est habilitée à emprunter sur les marchés des capitaux auprès des banques, des institutions
financières ou d’autres personnes ou institutions pour l’accomplissement de sa mission.
2. Les modalités des opérations d’emprunt doivent être déterminées par le Directeur Général, conformément
aux lignes directrices détaillées qui seront adoptées par le Conseil d’administration.
3. Le MES doit utiliser des outils appropriés de gestion du risque, qui doit être révisé régulièrement par le
Conseil d’administration.
CHAPITRE 5. Gestion financière du MES
L’article 18
La politique d’investissement
Le Directeur Général met en oeuvre une politique d’investissement prudente du MES, de manière à garantir la
plus grande solvabilité du MES, conformément aux directives qui seront adoptées, et revus régulièrement, par le
Conseil d’administration. Le MES est en droit d’utiliser une partie du retour sur investissement sur son
portefeuille pour couvrir ses coûts d’exploitation et administratifs.
L’article 19
Politique de dividende
1. Tant que Le MES n’a pas fourni d’aide financière à l’un de ses Membres, le produit du placement du capital du
MES versé doit être retourné aux Membres du MES en fonction de leurs parts respectives, après déduction des
coûts d’exploitation, à condition que la capacité de prêt ciblé soit totalement préservée.
2. Le Conseil d’administration peut décider, à la majorité simple, de distribuer un dividende aux Membres du
MES si le montant de capital versé et le fonds de réserve dépassent le niveau requis pour maintenir la capacité
de prêt du MES et si le produit du placement n’est pas requis pour éviter un déficit de paiement envers les
créanciers. Les dividendes sont distribués au prorata des parts.
3. Le Directeur Général met en oeuvre la politique de dividende du MES, en conformité aux directives qui seront
adoptées par le Conseil d’administration.
L’article 20
Réserve et autres fonds
1. Le Conseil des Gouverneurs doit établir un fonds de réserve et, le cas échéant, d’autres fonds.
2. Sans préjudice de l’article 19, le revenu net généré par les opérations du MES et le produit des sanctions
financières reçues des Membres du MES [selon la procédure multilatérale de surveillance, la procédure de
déficit excessif et la procédure des déséquilibres macro‐économiques établies en vertu du TFUE ] doit être mis
de côté dans un fonds de réserve.
3. Les ressources du fonds de réserve doit être investi conformément aux directives qui seront adoptées par le
Conseil d’administration.
4. Le Conseil d’administration adopte les règles qui peuvent être nécessaires pour l’établissement,
l’administration et l’utilisation d’autres fonds.
L’article 21
Couverture des pertes
1. Les pertes découlant des opérations du MES sont affectées :
(A) Tout d’abord, au fonds de réserve;
(B) Deuxièmement, au capital versé, et
(C) Enfin, sur une partie appropriée du capital social non libéré qui sera appelé conformément à l’article 9 (3).
2. Si un Membre du MES ne respecte pas le paiement requis par un appel de capital fait en vertu des articles 9
(2) ou (3), un appel de capital révisé accru devra être fait à tous les Membres du MES afin de s’assurer que le
MES reçoit le montant total des primes nécessaires. Le Conseil des Gouverneurs décide d’un cours d’action
approprié pour s’assurer que les Membres du MES concernés règle ses dettes au MES dans un délai de temps
raisonnable et a le droit d’exiger le paiement d’intérêts moratoires sur le montant en souffrance.
3. Quand un Membre du MES règle ses dettes au MES visées au paragraphe 2, l’excédent de capital doit être
retourné aux autres Membres du MES en conformité avec les règles qui seront adoptées par le Conseil des
Gouverneurs.
L’article 22
Budget
Le Conseil d’administration approuve le budget annuel du MES.
L’article 23
Les comptes annuels
1. Le Conseil des Gouverneurs approuve les comptes annuels du MES.
2. Le MES publie un rapport annuel contenant un état vérifié de ses comptes et communique aux Membres du
MES un état récapitulatif trimestriel de sa situation financière et un compte de profits et pertes faisant ressortir
les résultats de son exploitation.
L’article 24
Le Conseil d’Audit Interne (Internal Auditing Board – IAB)
1. Le Conseil d’audit interne (ci‐après la “IAB”) est composé de trois Membres nommés par le Conseil des
Gouverneurs pour leur compétence en matière d’audit et des questions financières.
2. Les Membres de l’IAB sont indépendants. Ils ne doivent pas solliciter ni accepter des instructions des organes
Directeurs du MES, des Membres du MES ou de tout autre organisme public ou privé.
3. L’IAB doit inspecter les comptes du MES et vérifier que les comptes d’exploitation et bilan sont conformes. Il
doit avoir pleinement accès à tout document du MES nécessaire pour l’exécution de ses tâches.
4. L’IAB envoie un rapport annuel au Conseil des Gouverneurs dans lequel elle constate que:
(A) Le bilan et les comptes d’exploitation sont en conformité avec les livres;
(B) Le bilan et les comptes d’exploitation donnent une image précise et vraie de la situation financière du MES à
l’égard de ses actifs et passifs, les résultats de ses opérations et ses flux de trésorerie pour l’exercice audité.
5. Le MES doit être exploité conformément aux principes de bonne gestion financière et de risque de gestion.
L’article 25
L’audit externe
Les comptes du MES sont vérifiés par des vérificateurs externes indépendants approuvés par le Conseil des
Gouverneurs. Les commissaires aux comptes ont tout pouvoir pour examiner tous les livres et comptes du MES
et obtenir des informations sur ses opérations.
CHAPITRE 6. DISPOSITIONS GENERALES DU MES
L’article 26
Lieu
1. Le MES a son siège et le bureau principal au Luxembourg.
2. Le MES peut établir un bureau de liaison à Bruxelles.
L’article 27
Le statut juridique du MES, les immunités et privilèges
1. Pour permettre au MES de remplir sa mission, le statut, les immunités et privilèges énoncés dans le présent
article sont accordée au MES dans le territoire de chaque Membres du MES. Le MES s’efforcera d’obtenir la
reconnaissance de son statut, les immunités et privilèges dans les autres territoires dans lesquels il exerce des
fonctions ou détient des actifs.
2. Le MES a la pleine personnalité juridique, il doit avoir la pleine capacité juridique:
(A) pour acquérir et aliéner des biens immobiliers et mobiliers;
(B) pour contracter;
(C) pour ester en justice et
(D) pour entrer dans un accord cadre et / ou des protocoles nécessaires pour s’assurer que ses statuts, privilèges
et immunités sont reconnus et mis en vigueur.
3. Le MES, ses biens, fonds et avoirs, où qu’ils se trouvent et quel qu’en soit le détenteur, jouissent de
l’immunité de toute forme de procédure judiciaire, sauf dans la mesure où le MES renonce expressément à son
immunité dans le but de toute procédure ou par les conditions de tout contrat, y compris la documentation sur
les instruments financiers.
4. La propriété, le financement et les actifs du MES, où qu’ils se trouvent et quel qu’en soit le lieu, sont exempts
de perquisition, réquisition, confiscation, expropriation ou de toute autre forme de saisie, de prise ou forclusion
par action de l’exécutif, judiciaire, administrative ou législative.
5. Les archives du MES et en général, tous les documents lui appartenant ou détenus par elle, sont inviolables.
6. Les locaux du MES sont inviolables.
7. Les communications officielles du MES accorderont à chaque Membres du MES et à chaque Etat qui a
reconnu le statut, les privilèges et immunités du MES, le même traitement qu’il accorde aux communications
officielles d’un Etat qui est un Membre du MES.
8. Pour mener à bien les activités prévues dans ce traité l’ensemble des biens, fonds et avoirs du MES devront
nécessairement être exempt de restrictions, réglementations, contrôles et moratoires de toute nature.
9. Le MES est exempté de toute obligation d’être autorisé ou agréé en tant qu’établissement de crédit, de
services d’investissement ou toute autre entité autorisée sous licence ou réglementée en vertu de la législation
de chaque Membres du MES.
L’article 28
Le personnel du MES
Le Conseil d’administration fixe les conditions d’emploi du Directeur Général et autres employés du MES.
L’article 29
Le secret professionnel
Les Membres ou anciens Membres du Conseil des Gouverneurs et du Conseil d’administration et toutes autres
personnes qui travaillent ou ont travaillé pour ou en relation avec Le MES ne doivent pas divulguer des
renseignements qui sont assujettis au secret professionnel. Ils sont tenus, même après cessation de leurs
fonctions à ne pas divulguer d’information qui par nature, sont couvertes par l’obligation de le secret
professionnel.
L’article 30
Immunités des personnes
1. Gouverneurs, Gouverneurs suppléants, Directeurs, Directeurs suppléants, le Directeur Général et Membres
du personnel doivent être à l’abri de poursuites à l’égard des actes accomplis par eux dans leur qualité officielle
et jouissent de l’inviolabilité à l’égard de leurs papiers officiels et documents, sauf lorsque le Conseil des
Gouverneurs renonce expressément à cette immunité.
2. Les immunités conférées en vertu du présent article sont accordées dans l’intérêt du MES. Le Conseil des
Gouverneurs peut aux conditions qu’il détermine lever toute immunité que confère le présent article. Le
Directeur Général peut lever toute immunité à l’égard de tout membre du personnel du MES (autre que luimême,
un Gouverneur, un Gouverneur suppléant, un Directeur, un Directeur suppléant à l’égard desquels toute
levée d’immunité doit être approuvé par le Conseil des Gouverneurs).
3. Chaque Membres du MES doit rapidement prendre les mesures nécessaires aux fins de donner effet à cet
article dans les termes de sa propre loi et en informer le MES en conséquence.
L’article 31
Exonération d’impôts
1. Dans le cadre de ses activités officielles, le MES, ses avoirs, revenus, biens et opérations et transactions
autorisées par le présent traité seront exonérés de tous impôts directs.
2. Les Membres du MES doivent prendre les mesures appropriées pour la remise ou le remboursement au MES
des impôts indirects ou des taxes de vente inclus dans le prix des biens mobiliers ou immobiliers lors des achats
importants réalisés pour son usage officiel dont le montant inclut les taxes de ce genre.
3. Aucune exonération n’est accordée en ce qui concerne les impôts et taxes qui ne constituent pas des frais de
services d’utilité publique.
4. Les marchandises importées par le MES et nécessaires à l’exercice de ses activités officielles sont exonérés de
tous droits et taxes et de toutes prohibitions et restrictions à l’importation.
5. Le personnel du MES doit être soumis à un impôt interne au profit du MES sur les salaires et émoluments
versés par Le MES, soumis à des règles qui seront adoptées par le Conseil des Gouverneurs.
A partir de la date à laquelle cet impôt est appliqué, ces traitements et émoluments sont exempts de l’impôt sur
le revenu national.
6. Aucun impôt d’aucune sorte ne sera perçu sur les obligations ou valeurs émises par le MES y compris tout
intérêt ou dividende résultant de taxes :
(I) qui discriminent ces obligations ou titres uniquement en raison de leur origine, ou
(Ii) if the sole jurisdictional basis for such taxation is the place or currency in which it is issued, made payable or
paid, or the location of any office or place of business maintained by the MES
L’article 32
Interprétation du Traité et le règlement de conflit
1. Toute question d’interprétation ou d’application des dispositions du présent traité et les statuts du MES qui
surgissent entre les Membres du MES et le MES, ou entre les Membres du MES, est soumis au Conseil
d’administration pour décision.
2. Si un différend survient entre un Membre du MES et le MES, ou entre Membres de MES sur l’interprétation et
l’application du présent traité, y compris les différends au sujet de la compatibilité des décisions adoptées par le
MES avec le présent traité, le Conseil des Gouverneurs statue sur ce litige. Les votes des Membres du Conseil
des Gouverneurs qui sont les Membres du MES concernés par ce litige, sont suspendus pour cette décision et le
seuil de vote nécessaires à l’adoption de la décision est recalculé en conséquence.
3. Si un Membre du MES conteste cette décision, ce différend sera soumis à la Cour de Justice de l’Union
européenne. Le jugement de la Cour de justice de l’Union européenne devra être suivi les parties qui prendront
les mesures nécessaires pour se conformer à l’arrêt dans un délai devant être décidée par ladite Cour.
L’article 33
La coopération internationale
Le MES est en droit de coopérer dans les termes de ce traité avec le FMI, avec tout Etat non Membres de la zone
euro qui offre une assistance financière sur une base ad hoc ou avec toute organisation ou entité internationale
spécialisée ayant des responsabilités dans des domaines connexes.
CHAPITRE 7. Dispositions transitoires
L’article 34
Dispositions transitoires entre FESF et MES
Pendant la phase transitoire couvrant la période allant de Juin 2013 jusqu’à l’extinction du FESF, les prêts du
MES consolidé et du FESF ne doivent pas dépasser 500 milliards d’euros (EUR 500 000 000 000), sans préjudice
de l’examen régulier de l’adéquation de la valeur maximale de volume de prêts, conformément à l’article 10. Le
Conseil d’administration doit adopter les modalités des lignes directrices sur le calcul de la capacité
d’engagement de s’assurer que les plafonds des prêts consolidés ne sont pas violés.
L’article 35
Transfert des FESF soutient
1. Par dérogation à l’article 13, le Conseil des Gouverneurs peut décider que les engagements du FESF à fournir
une assistance financière à un Membre du MES en vertu de son accord avec ce Membres [doit / peut] être
assumée par le MES pour autant qu’elle se rapporte à des actions non décaissés et non provisionnées de facilités
d’emprunt.
2. Le MES peut, s’il est autorisé par son Conseil des Gouverneurs, acquérir les droits et assumer les obligations
du FESF, en particulier, en ce qui concerne tout ou partie de ses droits de circulation et obligations liés à ses
facilités de crédit existantes.
3. Le Conseil des Gouverneurs arrête les modalités détaillées nécessaires pour donner effet au transfert des
obligations du FESF au MES visées au paragraphe 1 ci‐dessus et tout transfert de droits et obligations tels que
décrits au paragraphe 2 ci‐dessus. 20
L’article 36
Le paiement du capital initial
1. Sans paiement de préjudice du paragraphe 2, le paiement du capital libéré du montant initialement souscrit
par chaque Membres du MES doit être effectué en cinq versements annuels de vingt (20) pour cent du montant
total. La première tranche sera versée par chaque Membres au sein du MES quinze (15) jours après la date
d’entrée en vigueur du présent Traité, mais pas plus tôt le 2 Janvier 2013. Les quatre autres (4) versements
seront chacun payable à la première, deuxième, troisième et quatrième date anniversaire de la date de
paiement du premier versement.
2. Pendant la période de cinq ans du paiement du capital par tranches, les Membres doivent fournir au MES, en
temps opportun avant la date d’émission, les instruments appropriés afin de maintenir un ratio minimum de
quinze (15) pour cent entre capital versé et les quantités des encours émis par le MES.
L’article 37
La correction temporaire de la clé de contribution
1. Au début, les Membres du MES devront souscrire le capital social sur la base de la clé de contribution initiale
tel que spécifiée à l’annexe 1 au présent traité. La correction temporaire incluse dans cette clé de contribution
initiale s’applique pour une période de douze (12) ans après la date d’adoption de l’euro par les Membres
concernés du MES.
2. Si, pour un nouveau Membres du MES, son produit intérieur brut (PIB) par habitant aux prix du marché en
euros dans les années précédant immédiatement son adhésion au MES, est inférieur à 75% de la moyenne du
PIB moyen européen par habitant aux prix du marché en euros, alors sa clé de contribution pour souscrire au
capital social du MES, établi conformément à l’article 10, bénéficie d’une correction temporaire et égale à la
somme de :
‐ 25% du pourcentage de sa banque centrale dans le capital de la BCE, déterminé conformément à l’article 29
des statuts du SEBC et
‐ 75% du pourcentage de son RNB (Revenu National Brut) au prix du marché en euros dans la zone euro dans
l’année précédant immédiatement son adhésion au MES.
Les pourcentages sont arrondis vers le haut ou vers le bas au plus proche multiple de 0,0001 par point de
pourcentages. Les termes statistiques seront ceux publiés par Eurostat.
3. Cette correction temporaire s’applique pour une période de douze (12) ans après la date d’adoption de l’euro
par les Membres concernés du MES.
4. En raison de la correction temporaire des clés, les actions attribuées à un Membre du MES concerné par
l’article ci‐dessus doivent être réaffectées parmi les Membres du MES ne bénéficient pas de la correction
temporaire sur la base de la participation dans la BCE, déterminé conformément à l’article 29 des statuts du
SEBC, en vigueur immédiatement avant l’émission d’actions au Membres accédant au MES.
L’article 38
Premier rendez‐vous
1. Chaque Membres doit désigner son Gouverneurs au MES dans les deux semaines suivant l’entrée en vigueur
du présent Traité.
2. Le Conseil des Gouverneurs nomme le Directeur Général et chaque Gouverneur nommer un Directeur et un
Directeur suppléant dans les deux mois suivant l’entrée en vigueur du présent Traité.
CHAPITRE 8. DISPOSITIONS FINALES
L’article 39
Adhésion
Le présent Traité est ouvert à l’adhésion d’autres États Membres de l’Union européenne conformément à
l’article 2 sur la demande d’adhésion qui dispose que tout État Membre pourra demander son adhésion au MES,
après l’adoption par le Conseil de la décision d’abroger sa dérogation de participer à l’euro conformément à
l’article 140 (2) du TFUE. Le Conseil des Gouverneurs approuve la demande d’adhésion des nouveaux États
Membres ainsi que les modalités termes techniques qui s’y rattachent, ainsi que les adaptations à apporter au
présent traité comme une conséquence directe de l’adhésion. Suite à l’approbation de la demande par le Conseil
des Gouverneurs, l’adhésion aura lieu dès le dépôt des instruments d’adhésion auprès du Dépositaire, qui en
informera les autres Membres.
L’article 40
Annexes
Les annexes suivantes au présent traité en font partie intégrante de celui‐ci:
1. La clé de la contribution initiale du MES;
2. Les souscriptions initiales du capital social et
3. La politique de tarification.
L’article 41
Signature et dépôt
1. Ce traité déposé auprès du Conseil de l’Union européenne (ci‐après «le Dépositaire») doit rester ouvert
jusqu’à ??? 2011 à la signature d’Etats dont les noms sont énoncés dans l’annexe 2 au présent Accord.
2. Le Dépositaire communiquera des copies certifiées conformes du présent Traité à tous les signataires.
L’article 42
La ratification, l’approbation ou l’acceptation
1. Le présent Traité est soumis à ratification, approbation ou acceptation par les signataires.
Les instruments de ratification, d’approbation ou d’acceptation seront déposés auprès du Dépositaire au plus
tard le 31 Décembre 2012.
2. Le dépositaire notifie aux autres signataires de chaque dépôt et la date de celle‐ci.
L’article 43
Entrée en vigueur
1. Le présent Traité entrera en vigueur le premier jour du deuxième mois suivant la date lorsque les instruments
de ratification, d’acceptation ou d’approbation ont été déposés par les signataires dont les souscriptions initiales
représentent pas moins de 95% du total des souscriptions énoncées dans l’annexe 2. Le cas échéant, la liste des
Membres du MES sera ajustée, la clé à l’annexe 1 doit alors être recalculée et le montant du capital social par
l’article 8 (1) et l’annexe 2 et le total agrégé de la valeur initiale d’actions libérées dans l’article 8 (2) doivent être
réduites en conséquence.
2. Sous réserve de l’article 41 (1), pour chaque signataire qui déposera ultérieurement son instrument de
ratification, d’acceptation ou d’approbation, le présent Traité entrera en vigueur le 20e jour après la date du
dépôt.
3. Pour chaque État qui adhère à ce traité conformément à l’article 39 du présent Traité n’entrera en vigueur le
20e jour après le dépôt de son instrument d’adhésion.

Anglais, français, allemand, grec, finnois, gaélique, suédois, estonien, italien, maltais, néerlandais,
Portugaise, slovaque, slovène et espagnole des textes font également foi, sera déposé dans les archives du

THE CONTRACTING PARTIES, Kingdom of Belgium, Federal Republic of Germany, Republic of
Estonia, Ireland, Hellenic Republic, Kingdom of Spain, French Republic, Italian Republic,
Republic of Cyprus, Grand Duchy of Luxembourg, Republic of Malta, Kingdom of the
Netherlands, Republic of Austria, Portuguese Republic, Republic of Slovenia, Slovak
Republic and the Republic of Finland (the “euro-area Member States” or “ESM Members”);
COMMITTED TO ensuring the financial stability of the euro area;
RECALLING the conclusions of the European Council adopted on 25 March 2011 on the
establishment of a European stability mechanism;
WHEREAS
(1) The European Council agreed on 17 December 2010 on the need for euro area Member
States to establish a permanent stability mechanism. This European Stability Mechanism will
assume the tasks currently fulfilled by the European Financial Stability Facility (“EFSF”) and
the European Financial Stabilisation Mechanism (“EFSM”) in providing where needed
financial assistance to euro area Member States after June 2013.
(2) On 25 March 2011, the European Council has adopted a decision adding to Article 136 of
the Treaty on the Functioning of the European Union the following paragraph: “The Member
States whose currency is the euro may establish a stability mechanism to be activated if
indispensable to safeguard the stability of the euro area as a whole. The granting of any
required financial assistance under the mechanism will be made subject to strict
conditionality”.
(3) Strict observance of the European Union framework, the integrated macro-economic
surveillance, in particular the Stability and Growth Pact, the macroeconomic imbalances
framework and the EU economic governance rules, should remain the first line of defence
against confidence crises affecting the stability of the euro area as a whole.
(4) If indispensable to safeguard the financial stability of the euro area as a whole, access to
ESM financial assistance will be provided on the basis of strict policy conditionality under a
macro-economic adjustment programme and a rigorous analysis of public-debt sustainability.
The initial maximum lending volume of the ESM after the complete run down of the EFSF is
set at EUR500bn.
(5) All euro-area Member States will become ESM Members. As a consequence of joining the
euro area, a Member State of the European Union (the “EU”) should become a member of the
ESM with full rights and obligations, in line with those of the contracting parties.
(6) The ESM will cooperate very closely with the International Monetary Fund (“IMF”) in
providing financial assistance. In all circumstances, active participation of the IMF will be
sought, both on technical and financial level. A Member State requesting financial assistance
from the ESM is expected to address a similar request to the IMF.
(7) Non euro area Member States participating on an ad hoc basis alongside the ESM in a
financial assistance operation for euro-area Member States will be invited to participate, as
observers, in the ESM meetings when this financial assistance and its monitoring will be

discussed. They will have access to all information in a timely manner and be properly
consulted.
(8) On xx 2011, the representatives of the governments of the Member States of the Union,
authorised the contracting parties of this Treaty to request the European Commission and the
European Central Bank (“ECB”) to perform the tasks provided for in this Treaty.
[(9) An adequate and proportionate form of private-sector involvement will be sought on a
case by case basis where financial assistance is received by an ESM Member, in line with
IMF practice. The nature and extent of this involvement will depend on the outcome of a debt
sustainability analysis and take due account of the risk of contagion and potential spill over
effects on other Member States and third countries. On the basis of this analysis and
depending on whether a macro-economic adjustment program can realistically restore the
public debt to a sustainable path, the beneficiary Member State may be required to take
initiatives ranging from encouraging the main private investors to maintain their exposure to
engaging in active negotiations in good faith with its creditors to secure their direct
involvement in restoring debt sustainability ] [alternative to Article 12 (2)]
[(10) In its statement of 28 November 2010, the Eurogroup stated that standardized and
identical Collective Action Clauses (“CACs”) will be included, in such a way as to preserve
market liquidity, in the terms and conditions of all new euro area government bonds starting
in June 2013. Moreover, the Term Sheet on the ESM, as endorsed by the European Council
on 25 March 2011, stated that the detailed legal arrangements for including CACs in euro
area government securities will be finalised by the end of 2011.] [alternative to Article 12 (3)]
[(11) Like the IMF, the ESM will provide financial assistance to a Member when its regular
access to market finance is impaired. Reflecting this, Heads of State and government have
stated that the ESM will enjoy preferred creditor status in a similar fashion to IMF, while
accepting preferred creditor status of IMF over ESM. The euro area Member States will
support equivalent creditor status of the ESM and that of other Member States lending
bilaterally alongside the ESM] .
(12) Disputes concerning the interpretation and application of this Treaty arising between the
contracting parties or between the contracting parties and the ESM, should be submitted to the
jurisdiction of the Court of Justice of the European Union, in accordance with Article 273 of
the Treaty on the Functioning of the European Union (“TFEU”).
(13) Post-programme surveillance will be carried out by the European Commission and by the
Council of the European Union within the framework laid down under Articles 121 and 136
TFEU.
HAVE AGREED as follows:
CHAPTER 1. COMMON PROVISIONS

Article 1
Establishment and Members
1. By this Treaty, the contracting parties establish among themselves an international financial
institution, called “European Stability Mechanism” (hereinafter the “ESM”).
2. The contracting parties are the members of the ESM (hereinafter the “ESM Members).
Article 2
New members
1. Membership in the ESM shall be open to the other Member States of the European Union
as from the entry into force of the decision of the Council of the European Union taken in
accordance with Article 140(2) of the Treaty on the Functioning of the European Union
(hereinafter the “TFEU”) to abrogate their derogation from participating in the euro.
2. New ESM Members shall be admitted on equal terms and conditions as existing ESM
Members, in accordance with Article 39.
3. A new Member State acceding to the ESM after its establishment shall receive shares in the
ESM in exchange for its capital contribution, calculated in accordance with the contribution
key described in Article 11.
Article 3
Purpose
The purpose of the ESM shall be to mobilise funding and provide financial assistance, under
strict economic policy conditionality, to the benefit of ESM Members which are experiencing
or are threatened by severe financing problems, if indispensable to safeguard the financial
stability of the euro area as a whole. For this purpose the ESM shall be entitled to raise funds
by issuing financial instruments or by entering into financial or other agreements or
arrangements with ESM Members, financial institutions or other third parties.
CHAPTER 2. GOVERNANCE OF THE ESM
Article 4
Structures and voting rules
1. The ESM shall have a Board of Governors, a Board of Directors, a Managing Director, and
dedicated staff as may be considered necessary.
2. The decisions of the Board of Governors and the Board of Directors shall be taken by
mutual agreement, qualified majority or simple majority as specified in this Treaty. In respect
of all decisions, a quorum of 2/3 of the members with voting rights representing at least 2/3 of
the voting rights must be present.

3. The adoption of a decision by mutual agreement requires the unanimity of the members
participating in the vote. Abstentions do not prevent the adoption of a decision by mutual
agreement.
4. The adoption of a decision by qualified majority requires eighty per cent (80%) of the votes
cast.
5. The adoption of a decision by simple majority requires a majority of the votes cast.
6. The voting rights of each ESM Member, as exercised by its appointee or representative on
the Board of Governors or Board of Directors, shall be equal to the number of shares allocated
to it in the authorized capital stock of the ESM as set out in Annex 2 to this Treaty.
7. If any ESM Member fails to pay any part of the amount due in respect of its obligations in
relation to paid-in shares or calls of capital under Articles 8 to 10 of this Treaty, or in relation
to the reimbursement of the financial assistance under Article 14 or 15 of this Treaty, such
ESM Member shall be unable, for so long as such failure continues, to exercise any of its
voting rights. The voting thresholds shall be recalculated accordingly.
Article 5
Board of Governors
1. Each ESM Member shall appoint a Governor and an alternate Governor, revocable at any
time. The Governor shall be a member of the government who has responsibility for finance.
The alternate Governor shall have full power to act on behalf of the Governor when he or she
is not present.
2. The Member of the European Commission in charge of economic and monetary affairs and
the President of the European Central Bank (hereinafter the “ECB”), as well as the President
of the Eurogroup, as referred to in protocol N° 14 to the EU Treaties (if he or she is not a
Governor) may participate in the meetings of the Board of Governors as observers.
3. Representatives of non-euro area Member States participating on an ad hoc basis alongside
the ESM in a financial assistance operation for a euro-area Member State shall also be invited
to participate, as observers, in the meetings of the Board of Governors when this financial
assistance and its monitoring will be discussed.
4. Other persons, including representatives of institutions or organisations, such as the IMF,
may be invited by the Board of Governors to attend meetings as observers on an ad hoc basis.
5. The Board of Governors shall either appoint the President of the Eurogroup as the ESM
Chairperson or elect a Chairperson and a Vice-Chairperson from among its members for a
term of two years. The Chairperson and the Vice-Chairperson may be re-elected. A new
election shall be organised without delay if the incumbent no longer holds the function needed
for being designated Governor.
6. The Board of Governors shall take the following decisions by mutual agreement:

(a) The decision to issue new shares on other terms than at par, in accordance with Article
8(2);
(b) The capital calls, in accordance with Article 9(1);
(c) The changes in authorized capital and adaptation of the maximum lending volume of the
ESM, in accordance with Article 10(1);
(d) The decision to take into account a possible update of the key for the subscription of the
ECB capital, in accordance with Article 11 (3) and the changes to be made to Annex 1 in
accordance with Article 11 (5);
(e) The granting of financial assistance by the ESM, including the policy conditionality as
stated in the Memorandum of Understanding (“MoU”), the financial terms and conditions,
and the choice of instruments, in accordance with Articles 12 to 15;
(f) The mandate to be given to the European Commission to negotiate, in liaison with the
ECB, the economic policy conditions attached to each financial assistance, in accordance with
Article 13(3);
(g) The changes in the pricing structure and pricing policy for financial assistance, in
accordance with Article 14(4);
(h) The changes to the list of financial assistance instruments that may be used by the ESM, in
accordance with Article 16;
(i) The modalities of the transfer of EFSF support to the ESM, in accordance with Article 35;
(j) The decision to approve the application for membership of the ESM by new Members,
referred to in Article 39
(k) The adaptations to be made to this Treaty as a direct consequence of the accession of new
Members, including changes to be made to the distribution of capital among ESM Members
and the calculation of such a distribution as a direct consequence of the accession of a new
Member to the ESM, in accordance with Article 39;
(l) The delegation to the Board of Directors of tasks listed in the present Article.
7. The Board of Governors shall take the following decisions by qualified majority:
(a) The detailed technical terms of accession of a new member to the ESM, in accordance
with Article 39;
(b) The election of the Chairperson and Vice-Chairperson of the Board of Governors, in
accordance with paragraph 2 of this Article;
(c) The by-laws of the ESM and the rules of procedure applicable to the Board of Governors
and Board of Directors (including the right to establish committees and subsidiary bodies), in
accordance with paragraph 9;

(d) The determination of the list of activities incompatible with the duties of a Director or an
alternate Director, in accordance with Article 6 (8);
(e) The appointment of the Managing Director, in accordance with Article 7;
(f)The establishment of other funds, in accordance with Article 20;
(g) The decisions on the actions to be taken for recovering a debt of an ESM Member, in
accordance with Article 21(2) and (3);
(h) The approval of the annual accounts of the ESM, in accordance with Article 23 (1); and
(i) The appointment of the members of the Internal Auditing Board, in accordance with
Article 24;
(j) The approval of the external auditors, in accordance with Article 25;
(k) The decision to waive the immunity of a Governor, alternate Governor, Director, alternate
Director or member of the staff, in accordance with Article 30; and
(l) The taxation regime applicable to the ESM staff, in accordance with Article 31(5);
(m) The decision on a dispute, in accordance with Article 32(2);
(n) Any other necessary decision not explicitly provided for by this Treaty.
8. The Chairperson shall convene and preside over the meetings of the Board of Governors.
The vice-Chairperson shall preside over these meetings when the Chairperson is unable to
participate.
9. The Board of Governors shall adopt the by-laws of the ESM and the rules of procedure of
the Board of Governors.
Article 6
Board of Directors
1. Each Governor shall appoint one Director and one alternate Director, revocable at any time,
from among people of high competence in economic and financial matters. The alternate
Directors shall have full power to act on behalf of the Director when he or she is not present.
2. The Member of the European Commission in charge of economic and monetary affairs and
the President of the ECB may appoint one observer each.
3. Representatives of non-euro area Member States participating on an ad hoc basis alongside
the ESM in a financial assistance operation for a euro-area Member State shall be invited to
participate, as observers, in the meetings of the Board of Directors when this financial
assistance and its monitoring will be discussed.

4. Other persons, including representatives of institutions or organisations may be invited by
the Board of Governors to attend meetings as observers on an ad hoc basis.
5. The Board of Directors shall take decisions by qualified majority, unless otherwise stated in
this Treaty. Decisions delegated by the Board of Governors shall be adopted in accordance
with the relevant voting rules set in Article 5 (6) and (7).
6. Without prejudice to the powers of the Board of Governors as set out in Article 5, the
Board of Directors shall ensure that the ESM is run in accordance with this Treaty and the bylaws
of the ESM adopted by the Board of Governors. It shall take decisions as provided for in
this Treaty or which are delegated to it by the Board of Governors.
7. Any vacancy in the Board of Directors shall be immediately filled in accordance with
paragraph (1).
8. The Board of Governors shall lay down what activities are incompatible with the duties of a
Director or an alternate Director, the by-laws of the ESM and rules of procedure of the Board
of Directors.
Article 7
Managing Director
1. The Managing Director shall be appointed by the Board of Governors from among
candidates having the nationality of an ESM Member, a relevant international experience and
a high competence in economic and financial matters. Whilst holding office, the Managing
Director may not be a Governor or Director or an alternate of either.
2. The term of office of the Managing Director shall be five years. He or she may be reappointed
once. He or she shall, however, cease to hold office when the Board of Governors
so decides.
3. The Managing Director shall chair the meetings of the Board of Directors and shall
participate in the meetings of the Board of Governors.
4. The Managing Director shall be chief of the staff of the ESM. He or she shall be
responsible for the organization, appointment and dismissal of the staff in accordance with
staff rules to be adopted by the Board of Directors.
5. The Managing Director shall be the legal representative of the ESM and shall conduct,
under the direction of the Board of Directors, the current business of the ESM.
CHAPTER 3. CAPITAL OF THE ESM
Article 8

Authorized capital stock
1. The authorized capital stock shall be EUR seven hundred billion (700,000,000,000). It shall
be divided into seven (7) million shares, having a nominal value of EUR hundred thousand
(100 000) each, which shall be available for subscription according to the initial contribution
key defined in Article 11 and calculated in Annex 1.
2. The capital stock shall be divided into paid-in shares and callable shares. The initial total
aggregate nominal value of paid-in shares shall be EUR eighty billion (80,000,000,000).
Shares of stock initially subscribed shall be issued at par. Other shares shall be issued at par,
unless the Board of Governors decides to issue them in special circumstances on other terms.
3. Shares of stock shall not be encumbered or pledged in any manner whatsoever and they
shall not be transferable, with the exception of transfers for the purposes of implementing
adjustments of the contribution key defined in Article 11 to the extent necessary to ensure that
the distribution of shares corresponds to the adjusted key.
4. The ESM Members hereby unconditionally and irrevocably undertake to provide their
contribution to the authorized capital stock, in accordance with their contribution key in
Annex 1. They shall meet all capital calls on a timely basis in accordance with the terms set
out in this Treaty.
5. The liability of each ESM Members shall be limited, in all circumstances, to its portion of
the authorized capital at its issue price. No ESM Member shall be liable, by reason of its
membership, for obligations of the ESM. The obligations of ESM Members to contribute to
capital in accordance with this Treaty are not affected if such ESM Member becomes eligible
for or is receiving financial assistance from ESM.
Article 9
Capital calls
1. The Board of Governors may call in authorized unpaid capital at any time and set an
appropriate period of time for its payment by the ESM Members.
2. The Board of Directors may call in authorized unpaid capital by simple majority decision to
restore the level of paid-in capital if the amount of the latter is reduced by the absorption of
losses below the level established in Article 8(2), as may be amended by the Board of
Governors following the procedure foreseen in Article 10, and set an appropriate period of
time for its payment by the ESM Members.
3. The Managing Director shall call authorized unpaid capital in a timely manner if needed to
avoid the ESM being in default of any scheduled or other payment obligation due to creditors
of ESM. He or she shall inform the Board of Directors and the Board of Governors of any
such call. When a potential shortfall in ESM funds is detected, the Managing Director shall
make such capital call(s) as soon as possible with a view to ensuring that the ESM shall have
sufficient funds to meet payments due to creditors in full on their due date. ESM Members
hereby irrevocably and unconditionally undertake to pay on demand any capital call made on
them by the Managing Director pursuant to this paragraph, such demand to be paid within
seven (7) days of receipt of such demand.

4. The Board of Directors shall adopt the detailed terms and conditions which shall apply to
calls on capital pursuant to this Article.
Article 10
Changes in authorized capital
1. The Board of Governors shall review regularly and at least every five years the maximum
lending volume and the adequacy of the authorized capital stock of the ESM. It may decide to
change the authorized capital and amend Article 8 and Annex 2 accordingly. This decision
shall enter into force after the ESM Members have notified the Depositary of the completion
of their applicable national procedures. The new shares shall be allocated to the ESM
Members according to the contribution key defined in Article 11 and in Annex 1.
2. The Board of Directors shall adopt the detailed terms and conditions which shall apply to
all or any capital changes made under paragraph 1.
3. Upon a new Member State becoming an ESM Member, the ESM’s authorized capital stock
shall be automatically increased by multiplying the respective amounts then prevailing by the
ratio, within the expanded contribution key defined in Article 11, between the weighting of
the entering ESM Member and the weighting of the existing ESM Members.
Article 11
Contribution key
1. The contribution key for subscribing to ESM authorised capital stock shall, subject to
paragraph 2 and 3 below, be based on the key for ESM Member’s national central banks’
subscription of the ECB’s capital pursuant to Article 29 of Protocol (No 4) to the Treaty on
European Union and the Treaty on the Functioning of the European Union on the Statute of
the European System of Central Banks and of the European Central Bank (the ‘ESCB
Statute’).
2. The initial contribution key for the subscription of the ESM authorized capital stock is
specified in Annex 1 to this Treaty.
3. The contribution key for the subscription of the ESM authorized capital stock shall be
adjusted:
– when there is a change in the authorized capital stock, as specified in Article 10 (1)
– upon a new Member State becoming an ESM Member and the ESM’s authorized
capital stock automatically increasing as specified in Article 10(3);
– when the twelve (12) year temporary correction applicable to an ESM Member
established in accordance with Article 37 ends.
The Board of Governors may decide to take into account possible updates to the key for the
subscription of the ECB capital mentioned in paragraph 1.

4. When the contribution key for the subscription of the ESM authorized capital stock is
adjusted, the ESM Members shall transfer among themselves capital stock to the extent
necessary to ensure that the distribution of capital stock corresponds to the adjusted key.
5. Annex 1 shall be amended upon decision by the Board of Governors upon any adjustment
contemplated by this Article.
6. The Board of Directors shall take all other measures necessary for the application of this
Article.
CHAPTER 4. OPERATIONS OF THE ESM
Article 12
Principles
[1.] If indispensable to safeguard the financial stability of the euro area as a whole, the ESM
may provide financial assistance to ESM Members, subject to strict conditionality under a
macro-economic adjustment programme, commensurate with the severity of the economic
and financial imbalances experienced by that ESM Member.
[2. An adequate and proportionate form of private-sector involvement shall be sought on a
case by case basis where financial assistance is received by an ESM Member, in line with
IMF practice. The nature and the extent of this involvement shall depend on the outcome of a
debt sustainability analysis and shall take due account of the risk of contagion and potential
spill over effects on other Member States and third countries. If, on the basis of this analysis,
it is concluded that a macro-economic adjustment program can realistically restore the public
debt to a sustainable path, the beneficiary Member State shall take initiatives aimed at
encouraging the main private investors to maintain their exposure. Where it is concluded that
a macro-economic adjustment program cannot realistically restore the public debt to a
sustainable path, the beneficiary Member State shall be required to engage in active
negotiations in good faith with its creditors to secure their direct involvement in restoring debt
sustainability.. In the latter case, the granting of financial assistance will be contingent on the
Member State having a credible plan for restoring debt sustainability and demonstrating
sufficient commitment to ensure adequate and proportionate private-sector involvement.
Progress in the implementation of the plan will be monitored under the programme and will
be taken into account in the decisions on disbursements. ] [Alternative to recital 9]
[3. Collective action clauses shall be included in all new euro-area government securities,
with maturity above one year, from July 2013, in a standardized manner which ensures that
their legal impact is identical in all euro-area jurisdictions.] [Alternative to recital 10]
Article 13
Procedure for granting financial assistance

1. An ESM Member may address a request for a financial assistance to the Chairperson of the
Board of Governors. On receipt of such a request, the Chairperson of the Board of Governors
shall task the European Commission, in liaison with the ECB, to:
(a) Assess the existence of a risk to the financial stability of the euro area as a whole;
(b) Undertake – wherever possible, together with the IMF – a rigorous analysis of the debt
sustainability of the ESM Member concerned;
(c) Assess the actual financing needs of the ESM Member concerned and the nature of the
private sector involvement required, in accordance with Article 12.
2. On the basis of the assessment referred to in paragraph 1, the Board of Governors may
decide to grant, in principle, financial assistance to the ESM Member concerned.
3. If a decision to grant, in principle, financial assistance is adopted, the Board of Governors
shall task the European Commission to negotiate with the ESM Member concerned –
wherever possible, together with the IMF and in liaison with the ECB – a memorandum of
understanding (hereinafter the MoU) detailing the economic policy conditions, contained in
a macro-economic adjustment programme and attached to the financial assistance. In parallel,
the Managing Director of the ESM shall prepare a proposal for financial assistance, including
the terms and financial conditions and the choice of instruments, to be adopted by the Board
of Governors.
The MoU shall be fully consistent with the measures of economic policy coordination
foreseen in the TFEU, including any act of secondary legislation as well as any opinion,
warning, recommendation or decision addressed to the ESM Member concerned.
4. The European Commission shall sign the MoU on behalf of the ESM, subject to prior
respect of the conditions established in paragraph (3) and approval by the Board of
Governors.
5. The Board of Directors shall approve the financial assistance agreement detailing the
technical aspects of the financial assistance to be provided and the disbursement of the first
tranche of the assistance.
6. The ESM shall establish an appropriate warning system to ensure that it receives the
repayments due by the ESM Member under financial assistance in a timely manner.
7. The European Commission – wherever possible, together with the IMF, and in liaison with
the ECB – shall be entrusted with monitoring the compliance with the economic policy
conditions attached to the financial assistance. On the basis of the report of the European
Commission, the Board of Directors shall decide, by mutual agreement, on the disbursement
of the tranches of the financial assistance subsequent to the first tranche.
8. The Board of Directors shall adopt the detailed guidelines which shall apply to the
disbursements of financial assistance.

Article 14
ESM stability support (ESS)
1. The Board of Governors may decide to grant a short term or medium term stability support
in the form of a loan to an ESM Member as financial assistance, in accordance with Article
12.
2. The technical terms and conditions of each loan shall be specified in a financial assistance
agreement, to be signed by the Managing Director.
3. The ESS pricing shall cover ESM funding cost plus an additional margin determined by the
Board of Governors. The pricing structure is detailed in the pricing policy in Annex 3. The
pricing policy shall be reviewed regularly by the Board of Governors.
4. The Board of Governors may decide to change the pricing structure and pricing policy and
amend Annex 3 accordingly.
Article 15
Primary market support facility (PMSF)
1. The Board of Governors may decide, as an exception, to arrange for the purchase of bonds
of an ESM Member on the primary market, in accordance with Article 12 [and with the
objective of maximising cost efficiency of the financial assistance].
2. The technical terms and conditions under which the bond purchase is conducted shall be
specified in the financial assistance agreement, to be signed by the Managing Director.
3. The Board of Directors shall adopt the detailed guidelines on the modalities for
implementing the PMSF.
Article 16
Review of the list of financial assistance instruments
The Board of Governors may review the list of financial assistance instruments provided for
in Articles 14 and 15 and decide to make changes to it.
Article 17
Borrowing operations
1. The ESM is empowered to borrow on the capital markets from banks, financial institutions
or other persons or institutions for the performance of its purpose.
2. The modalities of the borrowing operations shall be determined by the Managing Director,
in accordance with detailed guidelines to be adopted by the Board of Directors.
3. The ESM shall use appropriate risk management tools, which shall be reviewed regularly
by the Board of Directors.

CHAPTER 5. FINANCIAL MANAGEMENT OF THE ESM
Article 18
Investment policy
The Managing Director shall implement a prudent investment policy of the ESM, so to ensure
the highest creditworthiness of ESM, in accordance with guidelines to be adopted, and
reviewed regularly, by the Board of Directors. The ESM shall be entitled to use part of the
return on its investment portfolio to cover its operating and administrative costs.
Article 19
Dividend policy
1. As long as the ESM has not provided a financial assistance to one of its Members, the
proceeds from the investment of the ESM paid-in capital shall be returned to the ESM
Members according to their respective shares, after deductions for operational costs, provided
that the targeted effective lending capacity is fully available.
2. The Board of Directors may decide, by simple majority, to distribute a dividend to the ESM
Members if the amount of paid-in capital and the reserve fund exceeds the level required to
maintain the lending capacity of the ESM and proceeds from the investment are not required
to avoid a payment shortfall to the creditors. Dividends are distributed pro rata to the shares.
3. The Managing Director shall implement the dividend policy of the ESM, in accordance
with guidelines to be adopted by the Board of Directors.
Article 20
Reserve and other funds
1. The Board of Governors shall establish a reserve fund and, where appropriate, other funds.
2. Without prejudice to Article 19, the net income generated by the ESM operations and the
proceeds of the financial sanctions received from the ESM Members [under the multilateral
surveillance procedure, the excessive deficit procedure and the macro-economic imbalances
procedure established under the TFEU] shall be put aside in a reserve fund.
3. The resources of the reserve fund shall be invested in accordance with guidelines to be
adopted by the Board of Directors.
4. The Board of Directors shall adopt such rules as may be required for the establishment,
administration and use of other funds.
Article 21
Coverage of losses
1. Losses arising in the ESM operations shall be charged:

(a) First, against the reserve fund;
(b) Second, against the paid-in capital; and
(c) Last, against an appropriate amount of the authorized unpaid capital, which shall be called
in accordance with Article 9(3).
2. If an ESM Member fails to meet the required payment under a capital call made pursuant to
Articles 9 (2) or (3), a revised increased capital call shall be made to all ESM Members with a
view to ensuring that the ESM receives the total amount of paid-in capital needed. The Board
of Governors shall decide an appropriate course of action for ensuring that the ESM Member
concerned settles its debt to the ESM within a reasonable period of time and shall be entitled
to require the payment of default interest on the overdue amount.
3. When an ESM Member settles its debt to the ESM referred to in paragraph 2, the excess
capital shall be returned to the other ESM Members in accordance with rules to be adopted by
the Board of Governors.
Article 22
Budget
The Board of Directors shall approve the ESM budget annually.
Article 23
Annual accounts
1. The Board of Governors shall approve the annual accounts of the ESM.
2. The ESM shall publish an annual report containing an audited statement of its accounts and
shall circulate to ESM Members a quarterly summary statement of its financial position and a
profit and loss statement showing the results of its operations.
Article 24
Internal Auditing Board
1. The Internal Auditing Board (hereinafter the ‘IAB’) shall consist of three members
appointed by the Board of Governors for their competence in auditing and financial matters.
2. The Members of the IAB shall be independent. They shall not seek nor take instructions
from the ESM governing bodies, the ESM Members or any other public or private body.
3. The IAB shall inspect the ESM accounts and verify that the operational accounts and
balance sheet are in order. It shall have full access to any document of the ESM needed for the
implementation of its tasks.
4. The IAB shall send an annual report to the Board of Governors in which it ascertains that:
(a) The balance sheet and operational accounts are in accordance with the books;

(b) The balance sheet and operational accounts give an accurate and true picture of the
financial position of the ESM in respect of its assets and liabilities, the results of its operations
and its cash flow for the financial year under review.
5. The ESM shall be operated according to principles of sound financial and risk
management.
Article 25
External auditing
The accounts of the ESM shall be audited by independent external auditors approved by the
Board of Governors. The auditors shall have full power to examine all books and accounts of
the ESM and obtain full information about its transactions.
CHAPTER 6. GENERAL PROVISIONS OF THE ESM
Article 26
Location
1. The ESM shall have its seat and principal office in Luxembourg.
2. The ESM may establish a liaison office in Brussels.
Article 27
Legal status of the ESM, immunities and privileges
1. To enable the ESM to fulfil its purpose, the status, immunities and privileges set out in this
Article shall be accorded to the ESM in the territory of each ESM Member. The ESM shall
endeavour to obtain recognition of its status, immunities and privileges in other territories in
which it performs functions or holds assets.
2. The ESM shall have full legal personality; it shall have full legal capacity:
(a) To acquire and dispose of immovable and movable property;
(b) To contract;
(c) To institute legal proceedings and
(d) To enter into a headquarter agreement and/or protocols as necessary for ensuring that its
status, privileges and immunities are recognised and given effect.
3. The ESM, its property, funding and assets, wherever located and by whomsoever held shall
enjoy immunity from every form of judicial process except to the extent that the ESM
expressly waives its immunity for the purpose of any proceedings or by the terms of any
contract, including the documentation of the funding instruments.

4. The property, funding and assets of the ESM shall, wherever located and by whomsoever
held, be immune from search, requisition, confiscation, expropriation or any other form of
seizure, taking or foreclosure by executive, judicial, administrative or legislative action.
5. The archives of the ESM and in general, all documents belonging to it or held by it, shall be
inviolable.
6. The premises of the ESM shall be inviolable.
7. The official communications of the ESM shall be accorded by each ESM Member and by
each state which has recognised the status, privileges and immunities of the ESM the same
treatment as it accords to the official communications of a state which is an ESM Member.
8. To the extent necessary to carry out the activities provided for in this Treaty all property,
funding and assets of the ESM shall be free from restrictions, regulations, controls and
moratoria of any nature.
9. The ESM shall be exempted from any requirement to be authorised or licensed as a credit
institution, investment services provider or other authorised licensed or regulated entity under
the laws of each ESM Member.
Article 28
Staff of the ESM
The Board of Directors shall lay down the conditions of employment of the Managing
Director and other staff of the ESM.
Article 29
Professional secrecy
The Members or former Members of the Board of Governors and of the Board of Directors
and any other persons who work or have worked for or in connection with the ESM shall not
disclose information that is subject to professional secrecy. They shall be required even after
their duties have ceased not to disclose information of the kind covered by the obligation of
professional secrecy.
Article 30
Immunities of persons
1. Governors, alternate Governors, Directors, alternate Directors, the Managing Director and
staff members shall be immune from legal process with respect to acts performed by them in
their official capacity and shall enjoy inviolability in respect of their official papers and
documents except when and to the extent that the Board of Governors expressly waives this
immunity.
2. The immunities conferred under this Article are granted in the interest of the ESM. The
Board of Governors may waive to such extent and upon such conditions as it determines any
of the immunities conferred under this Article. The Managing Director may waive any such
immunity in respect of any member of the staff of the ESM (other than himself or herself, a

Governor, an alternate Governor, a Director, an alternate Director in respect of which any
waiver needs to be approved by the Board of Governors).
3. Each ESM Member shall promptly take the action necessary for the purposes of giving
effect to this Article in the terms of its own law and shall inform the ESM accordingly.
Article 31
Exemption from taxation
1. Within the scope of its official activities, the ESM, its assets, income, property and its
operations and transactions authorised by this Treaty shall be exempt from all direct taxes.
2. The ESM Members shall take the appropriate measures to remit or refund the amount of
indirect taxes or sales taxes included in the price of movable or immovable property where the
ESM makes, for its official use, substantial purchases the price of which includes taxes of this
kind.
3. No exemption shall be granted in respect of taxes and dues which amount merely to
charges for public utility services.
4. Goods imported by the ESM and necessary for the exercise of its official activities shall be
exempt from all import duties and taxes and from all import prohibitions and restrictions.
5. Staff of the ESM shall be subject to an internal tax for the benefit of the ESM on salaries
and emoluments paid by the ESM, subject to rules to be adopted by the Board of Governors.
From the date on which this tax is applied, such salaries and emoluments shall be exempt
from national income tax.
6. No taxation of any kind shall be levied on any obligation or security issued by the ESM
including any interest or dividend thereon by whomsoever held:
(i) which discriminates against such obligation or security solely because of its origin; or
(ii) if the sole jurisdictional basis for such taxation is the place or currency in which it is
issued, made payable or paid, or the location of any office or place of business maintained by
the ESM.
Article 32
Interpretation of the Treaty and dispute settlement
1. Any question of interpretation or application of the provisions of this Treaty and by-laws of
the ESM arising between any ESM Member and the ESM, or between ESM Members, shall
be submitted to the Board of Directors for its decision.

2. If a dispute arises between an ESM Member and the ESM or between ESM Members in
connection with the interpretation and application of this Treaty, including disputes about the
compatibility of the decisions adopted by the ESM with this Treaty, the Board of Governors
shall decide on this dispute. The votes of the member of the Board of Governors of the ESM
Member(s) concerned are suspended for this decision and the voting threshold needed for the
adoption of the decision is recalculated accordingly.
3. If an ESM Member contests this decision, such dispute shall be submitted to the Court of
Justice of the European Union. The judgement of the Court of Justice of the European Union
shall be binding on the parties in the procedure, which will take the necessary measures to
comply with the judgment within a period to be decided by said Court.
Article 33
International co-operation
The ESM shall be entitled for the furtherance of its purposes to co-operate within the terms of
this Treaty with the IMF, any non-euro area Member State which is providing financial
assistance on an ad hoc basis or any international organisation or entity having specialised
responsibilities in related fields.
CHAPTER 7. TRANSITORY ARRANGEMENTS
Article 34
Transitional arrangements between EFSF and ESM
During the transitory phase spanning the period from June 2013 until the complete run-down
of EFSF, the consolidated ESM and EFSF lending shall not exceed EUR 500 billion
(500,000,000,000), without prejudice to the regular review of the adequacy of the maximum
lending volume in accordance with Article 10. The board of Directors shall adopt detailed
guidelines on the calculation of the forward commitment capacity to ensure that the
consolidated lending ceiling shall not be breached.
Article 35
Transfer of EFSF supports
1. By way of derogation to Article 13, the Board of Governors may decide that the EFSF
commitments to provide financial assistance to an ESM Member under its agreement with
that Member [shall/ may] be assumed by the ESM as far as they relate to undisbursed and
unfunded parts of loan facilities.
2. The ESM may, if authorised by its Board of Governors, acquire the rights and assume the
obligations of the EFSF, in particular, in respect of all or part of its outstanding rights and
obligations under and related to its existing loan facilities.
3. The Board of Governors shall adopt the detailed modalities necessary to give effect to the
transfer of the obligations from the EFSF to the ESM as referred to in paragraph 1 above and
any transfer of rights and obligations as described in paragraph 2 above.

Article 36
Payment of the initial capital
1. Without prejudice to paragraph 2, payment of paid-in shares of the amount initially
subscribed by each ESM Member shall be made in five annual instalments of twenty (20) per
cent each of the total amount. The first instalment shall be paid by each ESM Member within
fifteen (15) days after the date of entry into force of this Treaty, but not earlier than 2 January
2013. The remaining four (4) instalments shall each be payable at the first, second, third and
fourth anniversary of the payment date of the first instalment.
2. During the five year period of capital payment by instalments, ESM Members shall
provide, in a timely manner prior to the issuance date, appropriate instruments in order to
maintain a minimum fifteen (15) per cent ratio between paid-in capital and the outstanding
amount of ESM issuances.
Article 37
Temporary correction of the contribution key
1. At inception, the ESM Members shall subscribe the authorized capital on the basis of the
initial contribution key as specified in Annex 1 to this Treaty. The temporary correction
included in this initial contribution key shall apply for a period of twelve (12) years after the
date of adoption of the euro by the ESM Member concerned.
2. If a new ESM Member’s gross domestic product (GDP) per capita at market prices in euro
in the year immediately preceding its accession to the ESM, is less than 75% of the European
Union average gross domestic product per capita at market prices, then its contribution key
for subscribing to ESM authorised capital, determined in accordance with Article 10, shall
benefit from a temporary correction and equal the sum of:
– 25% of that ESM Member’s national central bank’s percentage share in the ECB
capital, determined in accordance with Article 29 of the ESCB Statute; and
– 75% of that ESM Member’s percentage share in the gross national income (GNI) at
market prices in euro of the euro area in the year immediately preceding its accession to the
ESM Treaty
The percentages shall be rounded up or down to the nearest multiple of 0.0001 percentage
points. The statistical terms will be those published by Eurostat.
3. This temporary correction shall apply for a period of twelve (12) years after the date of
adoption of the euro by the ESM Member concerned.
4. As a result of the temporary correction of the key, shares allocated to an ESM Member
referred to above shall be reallocated amongst the ESM Members not benefiting from a
temporary correction on the basis of the shareholding in the ECB, determined in accordance
with Article 29 of the ESCB Statute, subsisting immediately prior to the issuance of shares to
the acceding ESM Member.

Article 38
First appointments
1. Each ESM Member shall designate its Governor within the two weeks following the entry
into force of this Treaty.
2. The Board of Governors shall appoint the Managing Director and each Governor shall
appoint a Director and an alternate Director within the two months following the entry into
force of this Treaty.
CHAPTER 8. FINAL PROVISIONS
Article 39
Accession
This Treaty shall be open for accession by other Member States of the European Union in
accordance with Article 2 upon application for membership that any such Member State will
file with the ESM after the adoption by the Council of the decision to abrogate its derogation
from participating in the euro in accordance with Article 140(2) TFEU. The Board of
Governors will approve the application for accession of the new Member and the detailed
technical terms related thereto, as well as the adaptations to be made to this Treaty as a direct
consequence of the accession. Following the approval of the application by the Board of
Governors, accession will take place upon the deposit of the instruments of accession with the
Depositary, who shall notify other Members thereof.
Article 40
Annexes
The following Annexes to this Treaty shall constitute an integral part thereof:
1. The initial contribution key of the ESM;
2. The initial subscriptions to the authorized capital stock; and
3. The pricing policy.
Article 41
Signature and deposit
1. This Treaty deposited with the Council of the European Union (hereinafter ‘the Depositary’)
shall remain open until XXX 2011 for signature to the States whose names are set forth in
Annex 2 to this Agreement.
2. The Depositary shall communicate certified copies of this Treaty to all the signatories.

Article 42
Ratification, approval, or acceptance
1. This Treaty shall be subject to ratification, approval or acceptance by the signatories.
Instruments of ratification, approval or acceptance shall be deposited with the Depositary no
later than 31 December 2012.
2. The Depositary shall notify the other signatories of each deposit and the date thereof.
Article 43
Entry into force
1. This Treaty shall enter into force on the first day of the second month following the date
when instruments of ratification, acceptance or approval have been deposited by signatories
whose initial subscriptions represent no less than 95% of the total subscriptions set forth in
Annex 2. Where appropriate, the list of ESM Members shall be adjusted; the key in Annex 1
shall then be recalculated and the total authorised capital stock in Article 8(1) and Annex 2
and the total initial aggregated value of paid-in shares in Article 8(2) shall be reduced
accordingly.
2. Subject to Article 41(1), for each signatory which thereafter deposits its instrument of
ratification, acceptance or approval, this Treaty shall enter into force on the 20th day after the
date of deposit.
3. For each State which accedes to this Treaty in accordance with Article 39 this Treaty shall
enter into force on the 20th day after the deposit of its instrument of accession.
Done at Brussels on the XX in the year two thousand and eleven in a single original, whose
English, French, German, Greek, Finnish, Gaelic, Swedish, Estonian, Italian, Maltese, Dutch,
Portuguese, Slovak, Slovene and Spanish texts are equally authentic, which shall be deposited
in the archives of the Depositary which shall transmit a duly certified copy to each of the
other prospective members whose names are set forth in Annexes 1 and 2.

Annex 3. Pricing policy
The ESS pricing structure is the following:
1) ESM funding cost
2) A charge of 200 bps applied on the entire loan
3) A surcharge of 100 bps for loan amounts outstanding after 3 years
For fixed rate loans with maturities above 3 years, the margin will be a weighted average of
the charge of 200 bps for the first 3 years and 200 bps plus 100 bps for the following years.
